Raise funds, sell the company or restructure with your numbers in order.
Banks, funds and buyers start with the same documents: balance sheet, cash flow, contracts and ownership structure. Veltis advises on this preparation. The financial institution does the analysis and grants the credit.
Practice areas
What we do
What the Capital practice covers
Fundraising
We prepare the company for bank credit, development financing lines (BNDES, Finep), FIDC, debentures, CRI/CRA, venture debt and equity transactions, and connect it with authorized financial institutions and investors.
Corporate finance
Valuation (assessing the value of the company), due diligence (pre-transaction review of the business) and advisory on company purchase and sale transactions (M&A).
Restructuring
Assessment and recovery plan for companies in financial distress, with liability negotiation. When the case involves judicial or extrajudicial recovery (court-supervised or out-of-court reorganization), the legal work is handled by partner attorneys.
In practice
Who does what in a fundraising process
Before the request reaches a financial institution, there is assessment, documentation and structuring. Veltis advises the company along this path, and the institution comes in once the request is submitted.

How it works
From diagnosis to ongoing follow-up
- 01
Assessment
We map the financial situation, the objective (grow, raise funds, sell, restructure) and what accounting data already exists.
- 02
Structuring
We organize the transaction: information, projections, collateral and the most suitable instrument.
- 03
Presentation to institutions
We present the transaction to authorized financial institutions and investors and, where applicable, to potential buyers.
- 04
Negotiation
We advise on negotiating terms, keeping the company at the decision-making table.
- 05
Follow-up
Veltis controllership follows the period after the transaction: covenants (commitments in the credit agreement), reporting and integration.

In the ecosystem
How the Capital practice connects to the others
Base
The data accounting already produces for the tax authorities is the same data the financial institution asks for in credit analysis.
Management
A company with a structured controllership reaches the investor with its documents and indicators in order, the folder the market calls a data room.
Protection
Articles of organization, shareholders' agreement and up-to-date contracts are part of what the investor or buyer asks for before closing.
Technology
Integrated systems deliver the balance sheet, cash flow and indicators without rework when it is time to put together the investor materials.
Frequently asked questions
Questions from anyone evaluating
Does Veltis lend money to my company?
No. Veltis is not a financial institution, does not hold authorization from the Banco Central do Brasil and does not grant or originate credit. We advise on structuring the transaction and connect your company with authorized financial institutions and investors. Credit is always analyzed and granted by the financial institution.
Does Veltis guarantee credit approval?
No. The analysis and the decision always rest with the financial institution or the investor. Veltis advises so that the request arrives complete and well organized, without promising any outcome.
How long does fundraising take?
It depends on the instrument, the size of the company and the financial institution, which conducts its own analysis and sets its own timeline. That is why Veltis does not promise an approval timeline.
Does Veltis charge even if the fundraising does not go through?
It depends on the model agreed for the transaction (fixed, success-based or mixed), which is presented before work begins.
Does restructuring involve court proceedings?
It can, when the case reaches judicial or extrajudicial recovery. In that case, the legal work is always handled by licensed attorneys. Veltis advises on the assessment, the recovery plan and the negotiation with creditors.
Do I need to already have an investor or buyer identified before asking for help with M&A?
No. We help structure the transaction and identify the most suitable candidates.
